Terms of Service
Last updated: November 3, 2026
These Terms of Service (“Terms”) govern your access to and use of capitolix.net and Capitolix’s software-as-a-service products (the “Service”), provided by Capitolix LLC (“we”, “us”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind it, and “you” refers to that organization.
The Service
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription term, for your internal business purposes and subject to these Terms. We may improve, modify, or discontinue features from time to time; if we discontinue a material feature of a paid plan, we will give reasonable notice.
Accounts
You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account and for your users’ compliance with these Terms. Notify us promptly of any unauthorized use.
Acceptable use
You agree not to:
- Violate any law or the rights of others
- Upload malicious code or attempt to disrupt or gain unauthorized access to the Service or its systems
- Reverse engineer, copy, or resell the Service except as permitted by law or by us in writing
- Use the Service to send spam or to store or transmit unlawful, infringing, or harmful content
- Exceed reasonable usage limits or circumvent plan restrictions
We may suspend access if we reasonably believe you have violated these Terms or your use threatens the Service or others.
Your data
You retain all rights to the data you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide and support the Service. You are responsible for the legality and accuracy of Customer Data. Our handling of personal information is described in our Privacy Policy. You may export your Customer Data while your account is active, and we will delete it after termination as described in the Privacy Policy.
Fees and payment
Paid plans are billed in advance on a recurring basis at the prices presented when you subscribe. Subscriptions renew automatically until cancelled. You authorize us and our payment processor to charge your payment method. Fees are non-refundable except where required by law or stated otherwise, and exclude taxes, which you are responsible for. We may change prices on notice before your next renewal. You can cancel at any time, effective at the end of the current billing period.
Intellectual property
The Service, including its software, design, and documentation, and all related intellectual property rights, belong to us and our licensors. Except for the rights expressly granted here, no rights are transferred to you. If you give us feedback or suggestions, we may use them without restriction or obligation.
Confidentiality
Each party will protect the other’s non-public information that is marked or reasonably understood to be confidential, use it only to perform under these Terms, and disclose it only to those who need to know it or as required by law.
Availability and support
We aim to keep the Service available and secure, but we do not guarantee uninterrupted or error-free operation. Planned maintenance, third-party outages, and events beyond our control may affect availability. Support is provided as described for your plan.
Termination
You may stop using the Service and close your account at any time. We may terminate or suspend your access for material breach of these Terms, non-payment, or if required by law. On termination, your right to use the Service ends, and provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and governing law) will survive.
Disclaimer of warranties
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that results obtained from it will be accurate or reliable.
Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service. Our total liability for any claim arising under these Terms will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim.
Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Data or your breach of these Terms, except to the extent caused by us.
Governing law and disputes
These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Idaho, and you consent to their jurisdiction.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before they take effect. Continued use after the effective date means you accept the revised Terms.
General
These Terms, together with any order form and our Privacy Policy, are the entire agreement between us regarding the Service. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets. Failure to enforce a provision is not a waiver.
